NIC Code for LLP Registration (Form FiLLiP)

There is no single NIC code for an LLP. In Form FiLLiP you select up to three NIC‑2008 five‑digit industrial sub‑class codes that describe your LLP’s proposed business, and mark one as the principal activity. As of 2026 the MCA V3 portal uses NIC‑2008, not NIC‑2025.

Which NIC version does FiLLiP use in 2026?

NIC‑2008. The MCA V3 instruction kits for Form FiLLiP and for SPICe+ Part A both say “Industry sub class (as per NIC codes 2008)” and “select maximum 3 NIC codes (five digit sub class)”, with one flagged as primary. MCA’s own Annexure A links the government NIC‑2008 list (ncs.gov.in / NIC_Sector.pdf), which is the same document as the MoSPI NIC‑2008 book.

MoSPI released NIC‑2025 (a six‑digit system) on 18 November 2025. As of 2026 it has not been adopted by MCA, Udyam or GST — those still require NIC‑2008. Use the NIC‑2008 code for FiLLiP. This page will be updated if MCA V3 migrates.

How the NIC code flows through LLP registration

The activity is declared four times, and all four have to agree:

  1. Proposed business — the incorporation document must state it (LLP Act 2008, section 11(2)(c)).
  2. RUN‑LLP (name reservation) — you give the broad industrial activity so the Registrar can test whether the proposed name fits the business.
  3. FiLLiP — a free‑text description of the business plus the NIC‑2008 five‑digit sub‑class(es), one marked primary.
  4. LLP Agreement — the main‑object clause, filed in Form 3 within 30 days of incorporation, should mirror the NIC activity and description.

Filed under LLP Rules 2009, Rules 8, 11 and 18. Because FiLLiP is non‑STP, an inconsistency anywhere in that chain is a live resubmission risk.

2‑digit division vs 5‑digit sub‑class

You select a five‑digit sub‑class in the MCA “search and select” window; you never type a code. The form then auto‑fills the parent two‑digit main division and its description. The finder shows both for every result.

Choosing when you do more than one thing

NIC classifies a business by its principal activity — the one expected to earn the largest share of turnover in the first couple of years.

  • Make and sell your own product → a Manufacturing sub‑class (Section C). Selling your own output is not “trading”.
  • Buy and resell third‑party goods → Division 46 (wholesale) or 47 (retail).
  • Mostly services → the relevant services division.

List the other activities as additional FiLLiP rows. Keep the LLP Agreement object clause broad enough to cover all of them, but name one clear main business. Do not select a trading NIC while the name or objects say “Manufacturers” — that contradiction is a documented resubmission cause.

Mistakes that get FiLLiP marked for resubmission

Under LLP Rules 2009, Rule 11(1), the Registrar gives 15 days to cure a defect, plus one further 15‑day window, capped at 30 days total; the Certificate of Incorporation issues in Form 16. RUN‑LLP allows a single 15‑day resubmission and the reserved name is valid for three months. Common activity/NIC triggers:

Under LLP Rules 2009, Rule 18(2)(xiii) and (xvi), a name or business activity using certain words is not allowed without the regulator’s approval, and that approval must be obtained at the time of applying for incorporation (FiLLiP mandatory attachment 4).

What an LLP legally cannot do as its principal business

  • Banking — reserved for licensed companies (Banking Regulation Act, 1949).
  • Insurance business — needs an Indian insurance company, i.e. a public company (Insurance Act, 1938). Acting as an insurance agent or broker is a separate, licensed activity that an LLP can do.
  • NBFC / lending / asset finance / investment as a principal business — the RBI Act, 1934 registers only companies as NBFCs. An LLP may still deploy its own funds; it just cannot run lending as a business.
  • Nidhi — a Companies Act, 2013 construct (section 406), not available to an LLP.
  • Prize chits / money circulation schemes — banned for everyone (1978 Act).
  • Raising capital from the public / listing.

Note the framing: these are activities that require incorporation as a company. SEBI does register LLPs as stockbrokers and investment advisers in some categories.

Foreign‑funded LLPs have extra limits: FDI into an LLP is automatic‑route only where 100% FDI is allowed with no FDI‑linked performance conditions, and such an LLP additionally cannot do agriculture / plantation, real‑estate business, print media, or downstream investment.

How to read a NIC‑2008 code

NIC‑2008 nests five levels. Example — custom software:

The published structure is 21 sections, 88 divisions, 238 groups, 403 classes and 1,304 five‑digit sub‑classes, comparable with the UN ISIC Rev. 4 to class level. How to pick the right NIC code for your LLP

  1. Write one plain sentence: what will the LLP mainly do to earn money in its first two years?
  2. Decide the mode — make a product, trade goods, or provide a service.
  3. Search that description in the finder; take the five‑digit sub‑class, not a 2‑digit division.
  4. Avoid catch‑all codes (74909, 46909, 47190) if a specific one fits.
  5. Check the regulator flag on the result — if it needs RBI / SEBI / IRDAI / a council, line up the approval first.
  6. Confirm the code is not a company‑only activity (banking, insurance, NBFC, Nidhi).
  7. Draft the LLP Agreement main‑object clause to mirror the NIC description; keep the proposed name consistent with it.
  8. In FiLLiP select up to three sub‑classes and mark one primary.

NIC‑2025, briefly

NIC‑2025 is the first revision since 2008: six‑digit sub‑classes, aligned to UN ISIC Rev. 5, released 18 November 2025. MoSPI’s own semantic search tool already defaults to it. For FiLLiP today you still use the NIC‑2008 code above. When MoSPI publishes an official NIC‑2008 ⇄ 2025 concordance and MCA adopts it, this page and the finder will carry the mapping.

FAQ

What is the NIC code for an LLP?

There isn’t one fixed code. You select up to three NIC‑2008 five‑digit sub‑classes in FiLLiP and mark one as the principal activity.

Does the NIC code appear in the LLPIN?

No. Unlike a company’s CIN, the LLPIN does not encode the activity code. The activity you declare still flows into GST registration, Udyam, the annual return and bank KYC.

Can an LLP change its NIC code or business activity after incorporation?

Yes — execute a supplementary LLP Agreement and file Form 3 within 30 days. There is no separate “change NIC code” form.

How many activities can an LLP list in FiLLiP?
