How to Register an LLP in India — Step by Step
LLP incorporation in India runs through a single online form — FiLLiP (Form for Incorporation of LLP) — which replaced the older set of separate forms. Here’s how the process actually runs, step by step.
1. Get Digital Signature Certificates (DSC)
Every proposed designated partner needs a DSC, since the entire application is filed and signed online. This is usually the first thing to arrange, as nothing else can proceed without it.
2. Register on the MCA portal
Each designated partner registers as a business user on the MCA portal, which is where the incorporation application and every filing afterward gets submitted.
3. Reserve a name (optional but recommended)
A name can be reserved in advance through RUN-LLP, or applied for directly within FiLLiP itself — FiLLiP allows up to two proposed names in the same application.
4. File FiLLiP, along with Form 9
FiLLiP captures the LLP’s proposed name, registered office, partner and designated partner details, and capital contribution. It’s filed together with Form 9 — each designated partner’s consent to act in that role. If the LLP is converting from an existing partnership or company, Form 17 or Form 18 is filed at the same time.
5. Get the SRN and affix digital signatures
On submission, the MCA portal generates a Service Request Number (SRN) to track the application. The designated partners then digitally sign the uploaded documents using their DSCs.
6. Receive the Certificate of Incorporation
Once the Registrar reviews and approves the application, a Certificate of Incorporation is issued, along with the LLP’s Identification Number (LLPIN).
7. File the LLP Agreement (Form 3)
This is the step that’s easy to forget: within 30 days after incorporation, the LLP Agreement itself has to be filed separately on Form 3. Incorporation and the agreement filing are two distinct steps, not one.
