Who can register an LLP in Gujarat?

An LLP needs at least two partners (section 6 of the LLP Act, 2008), and under section 5 a partner can be an individual or a body corporate, such as a company or another LLP. It must also have at least two designated partners who are individuals, and at least one of them must be a resident of India (section 7). What is specific to Gujarat?

Company and LLP law is national, so most of the process is the same across India. Three things depend on Gujarat: the Registrar, the stamp duty, and some state registrations after incorporation.

Which Registrar of Companies covers a Gujarat LLP?

An LLP is registered with the Registrar for the state of its registered office. For a registered office anywhere in Gujarat, that is the Registrar of Companies, Ahmedabad (ROC Ahmedabad). MCA’s reorganisation of Registrar jurisdictions from 16 February 2026 redrew the map for other states and left Gujarat unchanged. You do not need to go to that office. Incorporation forms such as FiLLiP are processed centrally by the MCA on behalf of the Registrar with jurisdiction, so a founder in Surat files in exactly the same way as one in Ahmedabad. Later filings also go through the portal to the same Registrar.

Stamp duty on the LLP agreement in Gujarat

Stamp duty is a state subject, set by the state of the LLP’s registered office. In Gujarat the LLP agreement is stamped at 1% of the total capital contribution, up to a maximum of ₹10,000 (Article 44 of Schedule I to the Gujarat Stamp Act, 1958, at the rates in force since 5 August 2020). So ₹1 lakh pays ₹1,000, ₹5 lakh pays ₹5,000, and ₹10 lakh or more pays ₹10,000. Pay the duty before the partners sign, by e-stamp or on physical stamp paper from a licensed vendor. If a partner brings immovable property in as capital, that property attracts a separate, higher duty based on its market (jantri) value. Registrations to think about after incorporation

  • GST (state code 24). A Gujarat GSTIN starts with state code 24. Whether you must register depends on turnover, whether you supply goods or services, supplies to other states and e-commerce sales. See GST registration for LLP.
  • Shops and establishments. Under the Gujarat Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2019, as amended from 16 December 2025, an establishment with 20 or more workers takes a registration certificate. One with fewer than 20 is exempt from most of the Act but must still send an intimation of commencement of business to the local inspector within 60 days. If your LLP has an office or shop, check which applies.
  • Professional tax. Gujarat levies it under the Gujarat State Tax on Professions, Trades, Callings and Employments Act, 1976. An LLP carrying on business generally takes an enrolment certificate and pays the annual tax on its own account. If it employs staff, it also registers as an employer and deducts the tax from salaries above ₹12,000 a month. Whether each partner must also enrol separately depends on their own position, so confirm it with your CA.

Gandhinagar

Gandhinagar is the state capital, with government offices and IT and professional-services work. GIFT City is in Gandhinagar district but follows its own special rules, which this page does not cover. Founders there can meet us at Satellite and do the rest by phone and email. Surat

Surat is known for textiles and for diamond cutting and polishing. Partner-run trading and job-work businesses in these trades often look at an LLP. Vadodara

Vadodara, also called Baroda, has an engineering, chemicals and pharmaceutical base, with IT and professional services alongside. Engineering, manufacturing or equipment-supply partners need the right NIC-2008 code, and the NIC code finder lists them. Rajkot

Rajkot, a major commercial centre of Saurashtra, is known for engineering workshops, auto parts, castings and machine tools. Many such units run as partnership firms. The main change with an LLP is that a partner is generally not personally liable for the LLP’s debts merely because they are a partner. Anand and Nadiad

Anand is known for its dairy cooperatives and the agri-business and food-processing units around them. Nadiad, in Kheda district, lies on the same road and rail corridor between Ahmedabad and Vadodara, with trading, small manufacturing and professional practices. Bhavnagar is known for the Alang ship-recycling yard, diamond cutting and polishing, and its port. Traders, suppliers and contractors serving those trades can use an LLP. Jamnagar is known for its brass-parts industry, with many small workshops, and for the large refinery complex nearby, which supports local contracting and supply businesses. How long does LLP registration take in Gujarat?

We do not promise a number of days, because three things decide it. Name approval: a name that resembles an existing LLP, company or trademark is rejected and must be changed. Document accuracy: a mismatch between the PAN, the identity proof and the form, or an old utility bill, is the usual reason FiLLiP is sent back. MCA processing: the Registrar examines FiLLiP and may approve it or return it with remarks.

What an LLP must file after registration

These filings apply to every LLP, whether or not it has done any business:

  • Form 3 (LLP agreement): within 30 days of incorporation, and again within 30 days of any change to the agreement.
  • Form 8 (Statement of Account and Solvency): due 30 October every year, for the year ended the previous 31 March. See the Form 8 guide.

  • Designated partner KYC: each designated partner who holds a DIN or DPIN completes DIR-3 KYC on a cycle set by MCA.
