LLP Name Change in Ahmedabad & Gujarat: Process, Fees and Timeline

Short answer: To change an LLP’s name, reserve the new name with RUN-LLP, pass a dated partners’ resolution, file Form 5 within 30 days of the partners’ consent, then file the stamped supplementary agreement in Form 3. The LLPIN, PAN and TAN stay the same; only the name changes.

If your LLP is registered in Gujarat, changing its name runs through the same MCA process as anywhere else in India — it is all online. What differs locally is the stamp duty on the supplementary agreement and, usually, how quickly you can get the partners together to sign.

What it actually costs

Two government fees. The RUN-LLP name application is ₹200 (Annexure A to the LLP Rules, 2009). The Form 5 filing fee depends on your LLP's contribution:

Form 3, which you file for the amended agreement, carries a fee on the same scale. So for most small LLPs in Gujarat the government cost of a name change is modest — the real costs are the stamp paper and getting the documents right.

Stamp duty on the supplementary agreement

The supplementary LLP agreement recording the new name must be stamped under the Gujarat Stamp Act, 1958 at or before signing; it can be stamped later, but late stamping costs a penalty on top of the duty. If it only changes the name and does not increase contribution, it is executed on ₹300 stamp paper: the duty for an agreement not otherwise provided for (Article 5(h) of Schedule I, raised from ₹100 to ₹300 in 2019). A name change does not alter who the partners are, so it is not treated as a change in the constitution of the LLP. If the same agreement also increases contribution, Article 44(2)(a) applies instead: duty on the increased capital, less the duty already paid on the original agreement. How long it takes

The MCA sets no processing deadline for RUN-LLP, Form 5 or Form 3, so there is no guaranteed turnaround. The stages run in order: name reservation (RUN-LLP), then Form 5, then Form 3 for the amended agreement. A name that clashes with a trade mark adds the most time, because you go back and start the reservation again.

Two deadlines Gujarat LLPs get caught by

An approved name is held for three months from the date the Registrar approves it (Rule 18(6) of the LLP Rules, 2009). Miss that and the reservation lapses and you reapply from scratch.

More importantly, Form 5 is due within 30 days of the date the partners consented to the new name (or completed the procedure your LLP agreement sets for a name change) — not 30 days from when the name was approved. That is Rule 20(2) of the LLP Rules, 2009. Date the resolution, and work from that date. Filing late attracts an additional fee that climbs the longer it runs.

Documents to have ready

The partners' resolution approving the new name (dated), the existing LLP agreement, a supplementary agreement on Gujarat stamp paper, and a valid Class 3 digital signature for the designated partner who will sign. You can copy a draft partners resolution from our templates.

Check the name before you pay for anything

Most rejections come from a clash with a registered trade mark, not with another LLP — so searching only the MCA name list is not enough. After the name changes

Nothing updates itself. The PAN and TAN, GST registration, bank accounts, licences, letterhead, invoices, website and the board at your registered office all have to be changed, and anyone you have a running contract with should be told. This is the part that causes real trouble later, usually when a bank or a client notices the name on an invoice does not match the certificate.
