Based on the LLP (Amendment) Rules, 2022 — the multiplier system for Form 8 / Form 11 for FY 2021‑22 onwards. Older defaults used a flat ₹100 per day with no cap. The fee is per form: Form 8 and Form 11 are filed and paid separately, each on its own delay clock. A government‑fee estimate for guidance, not a demand or a quote — confirm the payable amount on the MCA portal before you file.
How the LLP late fee is calculated
The total is two numbers added together: the normal filing fee (fixed, set by your LLP’s total contribution) and the additional fee (a multiplier of that normal fee, set by how many days late you are).

Additional (late) fee — the multiplier ladder
Since 1 April 2022 (the LLP (Amendment) Rules, 2022) the old flat ₹100‑a‑day penalty is gone. Form 8 and Form 11 now use the schedule below, and it depends on whether the LLP is a “Small LLP” — total contribution up to ₹25 lakh and turnover up to ₹40 lakh (both conditions).

Worked examples
Form 11, a few months late. FY 2024‑25 Form 11 was due 30 May 2025. A Small LLP with ₹1 lakh contribution filing on 20 September 2025 is about 113 days late — the 91‑to‑180‑day band, so 10×. Total = ₹50 normal + ₹500 additional = ₹550.
Form 11, over a year late. The same LLP filing on 15 July 2026 is about 411 days late. Total = ₹50 + (15× ₹50) + (₹10 × 51 days past 360) = ₹50 + ₹750 + ₹510 = ₹1,310.
Form 8, other than a Small LLP. FY 2023‑24 Form 8 was due 30 October 2024. An LLP with contribution above ₹1 crore filing on 1 March 2026 is about 487 days late. Total = ₹600 + (30× ₹600) + (₹20 × 127 days past 360) = ₹600 + ₹18,000 + ₹2,540 = ₹21,140.
What the calculator does not include
- Professional fees for preparing or filing the form — this is the government fee only.
- DSC, stamp duty, name reservation, GST — separate costs.
- Income‑tax penalties (section 234F, interest under section 234A) — those apply to a late ITR‑5, not to Form 8 or Form 11.
- Pre‑1‑April‑2022 due dates — those still carry the old flat ₹100‑a‑day fee with no cap. This calculator assumes a due date on or after 1 April 2022.
- Event‑based forms (Form 3, 4, 15) — same ladder to 360 days, then a flat 25× / 50× instead of the per‑day tail.
Frequently asked questions
How much is the late fee for LLP Form 11?
It is a multiplier of the normal filing fee (₹50 to ₹600 depending on contribution): 1× up to 15 days late, then 2×/4×, 4×/8×, 6×/12×, 10×/20× and 15×/30× (Small LLP / other than Small LLP) as the delay grows, plus ₹10 or ₹20 for every day beyond 360. Is the LLP Form 8 late fee the same as Form 11?
Yes. Form 8 and Form 11 use the same additional‑fee schedule; only the due date differs — Form 8 is due 30 October, Form 11 is due 30 May. Each form is calculated and paid separately, on its own delay clock.
What counts as a “Small LLP” for the late fee?
An LLP whose total contribution is up to ₹25 lakh and whose turnover is up to ₹40 lakh. Cross either limit and the higher “Other than Small LLP” column applies.
How is the fee calculated once the LLP is more than a year late?
The multiplier caps at 15× (Small LLP) or 30× (other) of the normal fee, and on top of that ₹10 (Small LLP) or ₹20 (other) is added for every day beyond 360. There is no upper limit.
Is there a penalty if the LLP did no business?
Yes. Form 8 and Form 11 are mandatory for every LLP, including a dormant one with no transactions, and the same late fee applies if they are filed after the due date.
Does this calculator include professional or filing charges?
No. It shows only the government fee — the MCA normal fee plus additional fee. It does not include DSC, professional fees, or any income‑tax penalty.
