LLP Form 11 (Annual Return): Due Date, Filing Steps and Who Signs
Short answer: LLP Form 11 is the Annual Return every LLP files with the Registrar each year, giving the details of its partners, designated partners and their contributions. It is due within 60 days of the end of the financial year, which means 30 May, and it must be filed even if the LLP did no business. It is signed digitally by a designated partner, and larger LLPs also need a company secretary in practice to certify it.
What Form 11 contains
- The LLP’s identity: LLPIN, name and registered office.
- The number of partners and designated partners, and each one’s details and contribution.
- Partners or designated partners who joined or left during the year.
- The total contribution received by the LLP.
- Details of any penalty imposed or offence compounded, if there was one.
On the MCA V3 portal, partner details are entered through a downloadable Excel sheet that is uploaded back into the form.

What happens if Form 11 is late?
MCA charges an additional fee on top of the normal fee. It is a multiple of the normal fee that rises with the delay, with a daily amount beyond 360 days, and there is no cap. A separate statutory penalty can also apply to the LLP and its designated partners. See the full table in LLP Form 11 and Form 8 late fees, or work out your figure with the LLP late fee calculator.
Form 11 and Form 8 are different
Form 11 is the annual return about partners and contributions, due 30 May. Form 8 is the Statement of Account and Solvency about the LLP’s finances, due 30 October. Both are filed every year; see the Form 8 guide and the LLP compliance calendar.
