How to Increase Capital Contribution in an LLP: Form 3, Stamp Duty and Steps

Ahmedabad, Gujarat

Short answer: An LLP increases its capital contribution by changing its LLP agreement. The partners sign a supplementary LLP agreement showing each partner's new contribution, stamp it, bring the money or asset into the LLP, and file Form 3 with the Registrar within 30 days of the change (Rule 21(1), LLP Rules, 2009). The LLP Act sets no minimum and no maximum contribution, and no prior approval is needed.

What the law says about contribution

  • What counts as contribution (section 32(1), LLP Act, 2008): money, tangible or intangible property (movable or immovable), promissory notes, agreements to contribute cash or property, and contracts for services performed or to be performed.
  • Each partner's obligation comes from the LLP agreement (section 33(1)). So when a partner's contribution changes, the agreement must change first.
  • Accounting (section 32(2) and Rule 23(1)): the contribution of each partner must be accounted for and disclosed in the LLP's accounts, with its nature and amount.
  • Valuation of non-cash contribution (Rule 23(2)): property, other benefits or services brought in as contribution must be valued by a practising Chartered Accountant, a practising Cost Accountant, or an approved valuer from the Central Government's panel.

How to increase capital contribution: step by step

  1. Agree the new amounts. The partners decide how much each one will add and whether the profit-sharing ratio also changes. Record it in a resolution; our resolution for change in capital contribution or profit-sharing ratio is a ready format.
  2. Draft the supplementary LLP agreement. It should state each partner's old and new contribution, the form of contribution (cash or other), and any change in profit sharing. You can adapt our supplementary LLP agreement template.
  3. Pay stamp duty on it. The supplement is a new instrument and must be stamped under your state's Stamp Act. In Gujarat, Article 44(2)(a) of Schedule I to the Gujarat Stamp Act, 1958 applies: duty on the increased capital, less the duty already paid on the original agreement. For example, if the original agreement was stamped for a ₹2 lakh contribution (₹2,000 at 1%) and the contribution rises to ₹5 lakh, the supplement carries ₹5,000 − ₹2,000 = ₹3,000. For other states, see stamp duty on LLP agreements, state by state.
  4. Bring in the contribution. Cash goes into the LLP's bank account in the partner's name. For property or services, get the valuation report required by Rule 23(2) before recording the value.
  5. File Form 3 within 30 days. Attach the signed and stamped supplementary agreement. The MCA fee depends on the LLP's contribution, and filing after 30 days attracts an additional fee; our LLP late fee calculator works it out. Details of the form are in our Form 3 guide.
  6. Update the books. Credit each partner's capital account with the new amount, so that the next Form 8 and Form 11 show the same figures as the agreement and the bank statement.

What changes once contribution goes up

  • Audit. Under Rule 24(8), as it is normally applied, an LLP needs a statutory audit once partners' total contribution exceeds ₹25 lakh, or turnover exceeds ₹40 lakh. An LLP that crosses ₹25 lakh of contribution during the year should appoint an auditor for that year. See when an LLP audit is required.
  • MCA fees. The filing fee for several LLP forms, including Form 3, Form 8 and Form 11, is set by slabs of contribution, so a higher contribution can mean a higher fee on every later filing.

Can an LLP reduce its contribution?

Yes. The LLP Act has no court or tribunal procedure for this, unlike a company's capital reduction. The partners change the LLP agreement, return or adjust the amount as agreed, and file Form 3 within 30 days. One protection for creditors applies: under section 33(2), a creditor who gave credit relying on a partner's contribution obligation, without notice of a compromise between the partners, can still enforce the original obligation against that partner. Check that the LLP can still pay its debts before any capital goes back to partners.

Frequently asked questions

Is there a minimum or maximum capital contribution for an LLP?

No. The LLP Act, 2008 does not prescribe a minimum or a maximum. Partners can start with any amount and increase it later by changing the LLP agreement.

What is the time limit to file Form 3 after increasing contribution?

30 days from the date of the change in the LLP agreement (Rule 21(1), LLP Rules, 2009). After that, Form 3 can still be filed, but with an additional fee.

Do we need to file Form 4 when existing partners increase their contribution?

No. Form 4 is for a partner or designated partner joining, leaving or changing particulars. If only the contribution of existing partners changes, Form 3 with the supplementary agreement is enough.

Can a partner contribute property or services instead of money?

Yes. Section 32(1) allows property, other benefits and contracts for services. Rule 23(2) requires that such a contribution be valued by a practising Chartered Accountant, a practising Cost Accountant, or an approved valuer.

What stamp duty applies on a supplementary agreement that increases capital in Gujarat?

Article 44(2)(a) of Schedule I to the Gujarat Stamp Act, 1958: duty on the increased capital, less the duty already paid on the original agreement. A supplement that only changes the name, with no change in capital, is on ₹300 stamp paper instead.

Does increasing contribution make an LLP audit compulsory?

It can. Once total contribution exceeds ₹25 lakh, the LLP's accounts must be audited under Rule 24(8), as the rule is normally applied, even if turnover is below ₹40 lakh.
