Rule 16(2): Address for Service of Documents
According to Rule 16(2) of the LLP Agreement, LLP can designate an address, apart from its registered office, for the service of documents. This designation must adhere to the provisions outlined in the LLP agreement. If the agreement does not specify the procedure, the consent of all partners is necessary to declare an alternative address for document service.
Rule 17(1): Changing the Registered Office
Rule 17(1) dictates the procedure for changing an LLP’s registered office from one location to another. This procedure should be stipulated in the LLP agreement. In the absence of such provisions, unanimous consent from all partners is required for relocating the registered office. Notably, if the relocation involves a change of state, consent from secured creditors is necessary.
Rule 20(1): Changing the Name
LLPs have the flexibility to change their names, subject to the procedure laid down in the LLP agreement, as per Rule 20(1). In cases where the agreement does not outline the procedure, the consent of all partners becomes essential for initiating a name change.
Rule 24(18)(a): Removal of Auditor
Rule 24(18)(a) pertains to the removal of an auditor from office by the partners of an LLP. The LLP agreement should specify the procedure for such removal. Partners can exercise their authority to remove an auditor at any time, provided that the process adheres to the guidelines outlined in the LLP agreement.
