Supplementary LLP Agreement — Draft Template

SUPPLEMENTARY AGREEMENT TO THE LLP AGREEMENT
This Supplementary Agreement is made on [Date], amending the LLP Agreement dated [Original Agreement Date] of [LLP Name] LLP, LLPIN [LLPIN], having its registered office at [Registered Office Address], between the following partners:

- [Partner 2 Name]
- [New/Continuing Partner Name, if applicable]
1. Background
The partners entered into an LLP Agreement dated [Original Agreement Date] governing the affairs of the LLP. The partners have now agreed to amend that Agreement to reflect: [briefly state the reason — e.g. "the admission of a new partner", "a change in the profit-sharing ratio", "a change in capital contribution", "a change in the LLP's registered office"].
2. Amendment
With effect from [Effective Date], Clause [Clause Number] of the original LLP Agreement is deleted and replaced with the following:
"[Insert the full replacement clause text here — e.g. the revised profit-sharing ratio, the updated capital contribution table, or the new registered office address.]"

3. Other Terms Unchanged
Save as expressly amended by this Supplementary Agreement, all other terms and conditions of the original LLP Agreement dated [Original Agreement Date] remain in full force and effect and are hereby confirmed.
4. Filing
The partners authorise [Designated Partner Name] to file this Supplementary Agreement, along with Form 3 (and Form 4, if the change involves a partner), with the Registrar of Companies within the time allowed under the LLP Act, 2008.
