Partner Changes

How to Add or Appoint a Designated Partner in an LLP: Procedure, Form 9 and Form 4

Ahmedabad, Gujarat

Short answer: to add a designated partner to an existing LLP, the person must be an individual partner of the LLP (or the nominee of a body corporate partner) and must hold a DIN. They sign a consent in Form 9, and the partners approve the appointment as the LLP agreement requires. The LLP then files Form 4 with the Registrar within 30 days of the appointment. If the LLP agreement changes too (a new partner, new contribution or profit share, or a clause naming the designated partners), the LLP also files Form 3 within 30 days of that change.

Who Is a Designated Partner?

Designated partners are the partners responsible for the LLP's compliance under the LLP Act, 2008. They sign the LLP's filings and answer for defaults such as late annual returns. Under section 7, every LLP must have at least two designated partners who are individuals, and at least one of them must be resident in India, meaning they stayed in India for at least 120 days during the financial year. If all the LLP's partners are bodies corporate, or the partners are a mix of individuals and bodies corporate, at least two individuals who are partners of the LLP or nominees of those bodies corporate must act as designated partners.

A designated partner is still a partner. The role adds compliance duties, not extra ownership. Profit share and contribution are set by the LLP agreement.

Before You Start: Eligibility Checklist

  • Is the person a partner? An individual must be a partner of the LLP to be its designated partner. The only exception is a nominee of a body corporate partner. Someone new must first be admitted as a partner (see the second procedure below).
  • Do they have a DIN? A Director Identification Number is required. If they have none, apply in Form DIR-3 first. Form 4 can be filed only after the DIN is allotted.
  • Is the DIN active? A DIN marked "deactivated" for a missed DIR-3 KYC should be reactivated, by filing the KYC, before the appointment is filed. See DIR-3 KYC for LLP partners.
  • Will the LLP still have a resident designated partner? At least one designated partner must be resident in India.
  • What does your LLP agreement say? Many agreements set out how partners are admitted and how designated partners are chosen. Follow that procedure. Where the agreement is silent, the First Schedule to the LLP Act requires the consent of all existing partners to bring in a new partner.

Procedure 1: Making an Existing Partner a Designated Partner

  1. Get a DIN if the partner does not already have one (Form DIR-3).
  2. Take the partner's consent in Form 9, signed before the appointment takes effect. A ready format is here: Form 9 consent to act as designated partner.
  3. Pass a partners' resolution approving the appointment and fixing the date, as the LLP agreement requires.
  4. Check whether the LLP agreement needs amending. If the agreement names the designated partners or the change alters any other term, sign a supplementary LLP agreement on stamp paper.
  5. File Form 4 within 30 days of the appointment, attaching Form 9 and the resolution. An existing designated partner signs it with a digital signature.
  6. File Form 3 within 30 days of the change to the LLP agreement, if there was one.

Procedure 2: Bringing in a New Person as Partner and Designated Partner

  1. Agree the terms: the new partner's contribution, profit share and role, and record the partners' consent to admit them.
  2. Get a DIN for the incoming partner in Form DIR-3 if they have none.
  3. Take their consent to become a partner and designated partner in Form 9.
  4. Pass the partners' resolution admitting them and appointing them as designated partner. Draft: resolution for admission of a new partner.
  5. Sign a supplementary LLP agreement recording the new partner, the revised contribution and profit-sharing ratio, and the designated partners. Stamp it under your state's stamp law before signing. Work out the duty with the LLP agreement stamp duty calculator.
  6. File Form 4 within 30 days of the admission and appointment.
  7. File Form 3 within 30 days of the change to the LLP agreement, with the supplementary agreement attached.
  8. Update the LLP's other records, such as the bank mandate and GST registration, if the new designated partner will sign for the LLP.

The full partner-change procedure, with drafts for every document, is in our LLP partner change guide.

Time Limits and What Happens If You Miss Them

  • Form 4: within 30 days of the appointment (section 7(4)).
  • Form 3: within 30 days of the change to the LLP agreement.
  • Vacancy: if the LLP falls below two designated partners, it should appoint a replacement within 30 days of the vacancy (section 9).
  • Late filing: the MCA portal charges an additional fee that grows with the length of the delay. Estimate it with the LLP late fee calculator.
  • Penalty: breaking the designated-partner rules can attract a penalty under section 10. For a breach of section 7(1), it falls on the LLP and every partner. For a late Form 4 under section 7(4), it falls on the LLP and every designated partner. A further amount is added for each day the default continues, up to a cap.

Removing or Replacing a Designated Partner

The same forms work in reverse. Record the cessation, by resignation, removal or death, and file Form 4 within 30 days, plus Form 3 if the agreement changes. If the change leaves the LLP with fewer than two designated partners, or with no resident designated partner, appoint a replacement within 30 days using the steps above. Formats: LLP partner resignation letter and resolution for resignation or retirement of a partner. Common problems and fixes are in LLP partner change problems.

Frequently Asked Questions

Can a person who is not a partner be appointed as a designated partner?

No, an individual must be a partner of the LLP to be its designated partner. The exception is an individual nominated by a body corporate that is a partner. A new person must first be admitted as a partner, and both changes can be done together.

Is a DIN mandatory for a designated partner?

Yes. Every designated partner must have a DIN. If the person has none, apply in Form DIR-3 before filing Form 4.

What is the time limit for filing Form 4 for a new designated partner?

Within 30 days of the appointment. File Form 3 too, within 30 days, if the LLP agreement changes.

Can an NRI or a foreign national be a designated partner?

Yes, but at least one designated partner of the LLP must be resident in India, that is, in India for at least 120 days during the financial year.

Is Form 3 always required when a designated partner is added?

No. Form 3 is needed only when the LLP agreement changes, for example when a new partner joins, contributions or profit shares change, or the agreement names the designated partners. Making an existing partner a designated partner without changing the agreement needs Form 4 only.

What if my LLP is left with only one designated partner?

Appoint another designated partner within 30 days of the vacancy and file Form 4. Until then, the LLP does not meet section 7 and a penalty can apply.
