LLP Form 8 and Form 11 Late Fees and Penalties: Complete Guide

Updated Ahmedabad, Gujarat

Short answer: A late LLP Form 8 or Form 11 attracts the normal filing fee plus an additional fee that is a multiple of the normal fee, rising with the delay: from 1× for up to 15 days to 15× (Small LLP) or 30× (other LLP) after 180 days, plus ₹10 or ₹20 for every day beyond 360. There is no flat ₹100-per-day late fee. Statutory penalties under the LLP Act are a separate matter.

Small LLP or other LLP?

Section 2(1)(ta) of the LLP Act defines a Small LLP by contribution not exceeding ₹25 lakh and turnover not exceeding ₹40 lakh, subject to prescribed conditions. The turnover reference is the relevant preceding accounts; the MCA kit refers to the annual accounts filed for the latest financial year. Confirm the classification from the records rather than choosing Small LLP just because the current year has no sales. The Form 11 certification limits are a separate test.

A filing on its due date has no delay fee. Count the delay from the day after the due date. Use an officially relaxed date only if the relaxation covers that particular form and period.

Worked examples

  • A qualifying Small LLP with ₹1 lakh contribution files one annual form 45 days late: normal fee ₹50; additional fee 4 × ₹50 = ₹200; total government fee ₹250.
  • The same LLP files 400 days late: additional fee 15 × ₹50 + 40 × ₹10 = ₹1,150; normal fee ₹50; total ₹1,200.
  • An other-than-small LLP whose normal fee is ₹400 files 400 days late: additional fee 30 × ₹400 + 40 × ₹20 = ₹12,800; total including the normal fee ₹13,200.

Each form and each financial year has its own due date and fee. These illustrations exclude professional fees, DSC costs, tax dues and any statutory penalty order. Confirm the portal’s demand before paying, especially for old defaults that span a rule change.

Agreement and partner-change forms are different

The Annexure A schedule treats forms other than Form 8 and Form 11 differently beyond 360 days: 25× the normal fee for a Small LLP and 50× for other LLPs, without the daily amount that applies to the annual forms. Do not copy a Form 11 estimate to every event form. Form 4 has a category-based normal fee of ₹50 for a Small LLP and ₹150 for other LLPs; a Form 3 filing for a contribution increase can also involve a contribution-slab difference.

Separate statutory penalties

Sections 34(5) and 35(2) of the LLP Act provide ₹100 for each day the relevant filing default continues, capped at ₹1 lakh for the LLP and ₹50,000 for designated partners under the applicable provision. These are statutory penalties, not the portal’s late-fee table. Under section 76A(3), for the specified section 34(3)/35(1) defaults, rectifying before, or within 30 days of, the adjudicating officer’s notice gives the stated protection from penalty. A separate proviso for Small LLPs and start-up LLPs reduces applicable penalties, subject to its conditions. None of this automatically waives MCA additional filing fees.

What to do with an overdue LLP

  1. List every missing form and year.
  2. Collect signed accounts and agreement records, and reconcile partner and contribution details.
  3. Check for pending forms and get a form-wise fee estimate.
  4. File accurate records and keep the acknowledgements.
  5. If a notice has been received, note its date and respond within the stated period with evidence of rectification.

Is the LLP late fee still ₹100 per day?
