How to Change an LLP's Name
Renaming an LLP is a two-part process — reserving the new name, then formally filing the change.
1. Check the name is available
The proposed name has to be distinct from existing companies/LLPs and shouldn’t infringe an existing trademark. The MCA portal’s name-search tool is the first check.
2. Reserve it via RUN-LLP
The new name is applied for through the RUN-LLP (Reserve Unique Name — LLP) service. Once approved, the reservation holds the name for 90 days.
3. Pass a partners’ resolution
The partners formally resolve to adopt the new name — this resolution is needed for the filing that follows.
4. File Form 5, along with Form 3
Within the 90-day window, Form 5 is filed to record the name change with the Registrar. Because the name is also part of the LLP Agreement, Form 3 is filed at the same time, with the updated agreement attached.
5. Get the fresh Certificate of Incorporation
Once approved, the Registrar issues a new Certificate of Incorporation reflecting the changed name.
6. Update everything else that carries the old name
PAN, TAN, bank accounts, GST registration, letterheads, the website, and any contracts or licenses in the LLP’s name all need to be updated to match — this step is easy to overlook but matters for day-to-day operations.
