Notice for Change of Name
Due: Within the 90-day validity window of the RUN-LLP name approval
Changing an LLP’s name is a two-step process. First, the new name has to be reserved through the RUN-LLP (Reserve Unique Name — LLP) service on the MCA portal. Once approved, that reservation is valid for 90 days.
Within that window, Form 5 is filed to formally record the name change with the Registrar. Because a name change also amends the LLP Agreement, Form 5 is filed together with Form 3, covering the updated agreement.
Both filings need the partners’ consent and a copy of their resolution approving the new name. Once approved, the Registrar issues a fresh Certificate of Incorporation reflecting the new name.
A common mix-up: Form 5 is for the LLP’s name. Changing the registered office address instead is a separate filing — Form 15.
