First Financial Year of an LLP: Form 8 and Form 11 Filing Dates
Example: incorporation on 15 November 2025
A short first year can run from 15 November 2025 to 31 March 2026. If that is the reporting year used, the normal Form 11 deadline is 30 May 2026 and Form 8 deadline is 30 October 2026.
Alternatively, the permitted extended first year can run from 15 November 2025 to 31 March 2027. On that basis, the first Form 11 is normally due 30 May 2027 and first Form 8 normally 30 October 2027. Establish the actual accounting and filing treatment from the records before choosing dates in MCA. Check any applicable official relaxation separately.
Example: incorporation on 30 September 2025
The statutory wording is after 30 September. Incorporation on 30 September itself does not satisfy that condition. The first MCA financial year therefore ends on 31 March 2026, and starts on 30 September 2025. Incorporation on 1 October falls on the other side of the boundary.
What date belongs in the first annual form?
Use the incorporation date as the From date, not 1 April before the LLP existed. Use the properly determined year end as the To date. Match the signed accounts, financial period in Form 8, corresponding annual return and prior filing history. In subsequent normal years, the reporting period is generally 1 April–31 March.
What still needs to be done immediately?
The initial agreement and Form 3 ordinarily need to be completed and filed within 30 days of incorporation. An extended first financial year does not extend this incorporation-based deadline. Arrange the bank account, contribution records, books, signed agreements and tax/activity-specific compliance from commencement. Keep records even before the business earns revenue.
MCA year and income-tax reporting are separate
Do not automatically copy the extended MCA first-year dates into the income-tax return. The tax reporting period, return form and due date are governed separately. GST and TDS obligations can also arise before the first MCA annual filing is due. Ask the accountant to reconcile the periods and opening balances.
Practical first-year checklist
1. Check the incorporation certificate and LLPIN.
2. Establish whether incorporation was after 30 September.
3. Decide and document the eligible first reporting period with the accounts preparer.
4. Check that no incompatible first annual filing has already been submitted.
5. Match Form 8 and Form 11 reporting periods with the relevant records.
6. Record their separate due dates and check official relaxations.
7. Keep Form 3, tax and event-based filings on separate deadlines.
Common questions
Is an extended first financial year automatic for every new LLP? No; eligibility depends on incorporation after 30 September and the actual reporting treatment.
Can I change the incorporation date to reduce late fees? No. Use the certificate date and accurate records.
Does no turnover give an automatic annual-filing exemption? No. First-year treatment and inactivity are different questions.
Should I file only Form 11? No. Form 8 and Form 11 serve separate purposes for the relevant completed reporting year.
