LLP Form 12
Form for Intimating Other Address for Service of Documents
Due: No fixed deadline — filed whenever the LLP designates an address for service
Form 12 lets an LLP declare a second address — separate from its registered office — where it can be formally served notices, summons and other documents by the Registrar or third parties.
It's filed under Section 13(2) of the LLP Act, 2008, read with Rules 16(2) and 16(3) of the LLP Rules, 2009.
This is a narrow, rarely-used form. Most LLPs only ever interact with the Registrar through their registered office and never need it. It matters mainly for LLPs whose registered office isn't well-suited to receiving physical mail — a residential address, or a shared or virtual workspace — and who want a separate, reliable correspondence address on record.
Don't confuse Form 12 with Form 15. Form 15 is what you file to actually change the registered office address itself. Form 12 doesn't touch the registered office at all — it only adds a second address for service, alongside the existing one.
