What is an LLP?
A Limited Liability Partnership (LLP) is a body corporate and a legal entity separate from its partners, governed by the LLP Act, 2008. It combines a partnership-style internal structure with limited liability and perpetual succession. A partner is generally not personally liable for LLP obligations solely because they are a partner, or for another partner's wrongful acts. A partner remains liable for their own wrongful acts or omissions; fraud and separate personal guarantees can also create personal liability. The LLP agreement governs partners' rights, duties and contribution obligations. Legal reference: LLP Act, 2008, sections 3, 23 and 27–30 (India Code).

Yes, an eligible partnership firm, private company or unlisted public company may convert into an LLP, subject to the LLP Act and the applicable conversion Schedule. A listed public company is not covered by this conversion route. Form 17 applies to firm-to-LLP conversion; Form 18 applies to private-company or unlisted-public-company conversion and is linked with FiLLiP. Check the existing partners or shareholders, security interests, approvals, liabilities and tax consequences before filing. Conversion does not automatically qualify for tax exemption. Yes — the LLP Agreement has to be executed on stamp paper before it's filed as Form 3, and the duty is set by the state where the LLP's registered office is. In Gujarat (so for any LLP registered in Ahmedabad), it's 1% of the total capital contribution, with a minimum of ₹1,000 and a cap of ₹10,000 — so even a large-capital LLP won't pay more than the ceiling. If a partner contributes immovable property instead of cash, that portion is stamped separately at the higher conveyance rate based on its Jantri value. An insufficiently stamped agreement is inadmissible as evidence and can attract a penalty of up to 10 times the shortfall, so this isn't a step worth skipping. Ask for a written breakdown of professional fees, MCA fees, DSC charges, agreement drafting, applicable stamp duty, Form 3 filing, taxes and any separately charged services. Confirm whether PAN/TAN processing, resubmission assistance and the post-incorporation handover are covered. Annual compliance, GST and income-tax work should have clearly stated scope rather than being assumed to be included in incorporation. The total depends on the partners, contribution, documents and services selected. For an Ahmedabad or Gujarat LLP, request a quotation stating both inclusions and exclusions before appointing a consultant.
