Annual Filings answers

11 questions

What is the difference between Form 8 and Form 11?

Form 8 deals with statement of account and solvency and relevant charge-filing purposes. Form 11 is the annual return. They contain different information and one does not replace the other.

Can I file nil figures just because the LLP has no sales?

No. Check bank charges, contribution, expenses, loans, balances and other transactions. No sales does not automatically mean that every account figure is nil.

Does filing an income-tax return replace MCA annual filings?

No. Income-tax and MCA filings serve different purposes. Prepare a separate checklist for each and reconcile the underlying figures before submission.

What records should I give the accountant for LLP annual filing?

Provide bank statements, invoices, expenses, contribution records, loan details, prior accounts, tax records and partner-change documents. Include every account and relevant transaction for the period.

Should contribution figures in Form 8 and Form 11 match?

Reconcile them with the agreement, partner records and books, considering what each field asks and the relevant reporting date. Investigate differences rather than copying a number blindly.

Does an audit exemption remove the need to keep books?

No. Audit applicability and maintaining accurate books are separate matters. Keep records sufficient to prepare correct accounts and required filings.

Should I rely on last year’s annual-filing due date?

Check the current financial year, the LLP’s circumstances and any official extension. An old article or social-media message is not proof that a deadline has been extended.

Can late fees be estimated without knowing the form and due date?

A reliable estimate needs the form, applicable due date, filing date, contribution and relevant LLP classification. Confirm the actual payment amount in the current MCA workflow.

What should I keep after submitting an MCA form?

Keep the final filed form, signed attachments, SRN, fee receipt and status evidence. A payment receipt alone may not establish that the form has been approved or fully processed.

What does an SRN mean?

SRN means Service Request Number. It identifies the MCA transaction. Use it to follow the application or filing status and match the correct payment and documents.

Can I reuse last year’s accounts and only change the date?

No. Prepare the current period’s figures and update partner and contribution information. Reconcile opening balances and comparatives with the previous signed records.
