Application to Strike Off (Close) an LLP

Form 24 lets an LLP that has stopped operating apply to be formally struck off the Register, rather than remaining on record (and accumulating compliance obligations) indefinitely.
To be eligible, the LLP must have been inactive — not carrying on any business — for at least one year, must have closed all its bank accounts, and must have no outstanding creditors.
The filing needs an indemnity bond (signed by all partners, indemnifying anyone against liabilities that surface after closure), an affidavit, and a NIL statement of accounts certified by a practising Chartered Accountant, dated within 30 days of filing. A partners’ resolution approving the closure is also required.
Once the Registrar is satisfied, the LLP’s name is struck off and it ceases to exist as a legal entity — so any pending compliance (like unfiled Form 8 or Form 11 returns) is worth clearing up before applying, since gaps can delay approval.
