LLP Form 32 — responding to an MCA resubmission request, step by step

LLP Form 32 is how you respond when MCA comes back on a form you have already filed and asks for clarification or additional documents. It is an addendum, not a fresh filing: it attaches to the original form through that form's SRN. It carries no fee. The critical limitation is that it is only available for forms processed in Non-STP mode — a form that went through straight-through processing cannot be corrected this way, because there was no officer examining it to raise a defect in the first place.

Who has to file LLP Form 32
- An LLP, foreign LLP or company that has received a communication from MCA seeking clarification or further documents on a pending form.
- Anyone whose Non-STP form — such as Form 24, Form 23 or Form 31 — has been marked for resubmission.
- Not available where the original form was filed through STP mode.

Before you start
Every one of these has to be true before the form will go through. Checking them first is what saves a cancelled SRN.
- The SRN of the original form you are rectifying. Form 32 has no meaning without it — this is the only LLP form where you do not begin by entering an LLPIN.
- The MCA communication setting out exactly what is defective or missing.
- The corrected or additional documents, ready as PDF or JPG.
- The filer must be a registered Business User with a DSC associated against their DPIN.
How to file LLP Form 32, step by step

Read the MCA communication carefully
It states precisely what the Registrar considers defective or incomplete, and by when you must respond. Resubmission windows are short and missing one can mean the original form lapses and has to be filed afresh, with the fee paid again.

Check that the original form was Non-STP
Form 32 is not available for forms filed through STP mode. STP forms are approved automatically without an officer examining them, so there is no defect notice to answer. If your form was STP and something is wrong with it, the remedy is a fresh filing or a different corrective form, not Form 32.

Log in and navigate to the form
Sign in, then MCA Services → e-Filing → LLP Forms Download, and open Form for filing addendum for rectification of defects or incompleteness. Note the flow here is shorter than other LLP forms — you go straight to filling the application without an LLP information step.

Enter the SRN of the original form
This links the addendum to the form being rectified. The original form's details are drawn from that SRN. Entering the wrong SRN attaches your documents to someone else's filing, so check it against the MCA communication.

Select the correct document type for each attachment
Attachments are chosen from a dropdown listing the attachment types of the original webform, with Others as one of the values. Select the right type for each file — MCA's instruction kit calls this out specifically, because a corrected document filed under the wrong type does not visibly answer the defect raised.

Attach up to five documents
A maximum of five documents can be attached within the form. If the Registrar has asked for more than five things, combine related pages into single PDFs rather than leaving anything out.

Submit and sign — there is no payment step
Submit generates an SRN for the addendum, and you upload the DSC-signed PDF within 15 days. The flow ends at acknowledgement: Form 32 carries no fee, so there is no payment stage. It is signed by a designated partner in the case of an LLP, or by the signatories applicable to the original form.

Track the original SRN, not the addendum
Form 32 is processed in Non-STP mode and is linked to the main form whose SRN you entered. Watch the status of that original filing — the addendum exists only to move it forward.

Government fee for LLP Form 32
MCA's instruction kit for Form 32 records the fee rules section as not applicable. There is no fee for filing an addendum, and no payment step in the flow.
Is there a late fee?
No additional or delay fee applies. The risk of delay is different and worse: miss the resubmission date in the MCA communication and the original form can lapse, forcing a fresh filing and a second payment of that form's fee.
Why LLP Form 32 gets rejected
These are the failures that actually stop filings, in rough order of how often they come up.
Original form was STP
Form 32 simply is not available for straight-through-processed forms.
Wrong SRN entered
The addendum attaches to whatever SRN you type. Verify it against the MCA communication.
Documents tagged under the wrong type
Each attachment is classified from a dropdown. A correct document filed under the wrong type does not answer the defect.
More than five documents needed
The form caps attachments at five. Combine related pages into single PDFs.
Filed after the resubmission date
The original form can lapse, and then the whole filing and its fee have to be repeated.
Only part of the defects addressed
Answer every point in the communication. A partial response triggers another round and burns the window.
