Is DSC Mandatory for LLP Registration?

Updated Ahmedabad, Gujarat

Short answer: Yes. The LLP incorporation form, FiLLiP, is filed on the MCA portal with the digital signature (DSC) of a designated partner, and after registration the annual Form 8 must be signed by at least two designated partners. So in practice every LLP needs a valid Class 3 DSC for at least two designated partners. Name reservation (RUN-LLP) does not need a DSC.

Which class of DSC is needed?

A Class 3 DSC. Class 2 certificates are no longer issued, so a new DSC for MCA filings is Class 3. It is issued in the designated partner’s own name, linked to their PAN, by a licensed certifying authority after online identity verification, which usually includes a short video. Once issued, it is registered against the partner’s login on the MCA portal before it can sign a form.

Do all partners need a DSC?

No. Partners who are not designated partners do not sign MCA forms, so they do not need a DSC for registration. Designated partners do: they sign the filings and carry the compliance duties under the LLP Act. Because Form 8 needs two designated partners’ signatures every year, plan for a DSC for at least two of them from the start. See how many partners an LLP needs.

Can an NRI or foreign national get a DSC?

Yes. Certifying authorities issue DSCs to NRIs and foreign nationals, usually on a passport and an overseas address proof, which may need notarisation or apostille. The LLP still needs at least one designated partner who is resident in India. The documents checklist covers foreign partners’ papers.

How long is a DSC valid?

A DSC is issued for one to three years. Keep it valid: an expired DSC cannot sign Form 8 or Form 11, and renewing at the last minute is a common reason for missing a due date. The LLP compliance calendar lists every date, and the late fee calculator shows what a delay costs.
