How to Change a Partner in an LLP
Partner changes in an LLP — someone joining, resigning, or moving in or out of the designated-partner role — go through Form 4. Here’s the process.
1. Get the partners’ resolution
The existing partners pass a resolution approving the change, whether that’s admitting a new partner, accepting a resignation, or removing someone.
2. Get the incoming partner’s consent
If someone is joining as a partner or designated partner, their written consent to take on the role is required — this is captured directly on Form 4.
3. File Form 4
Form 4 is filed with the Registrar within 30 days of the change taking effect, along with the resolution and consent gathered above.
4. File Form 3 too, if the LLP Agreement changes
If the change also affects the LLP Agreement — a new partner’s capital contribution or profit share, for instance — Form 3 is filed alongside Form 4, with the amended agreement or a supplementary deed attached.
5. Update KYC details where relevant
A newly appointed designated partner who doesn’t already have a DIN/DPIN needs to obtain one; an existing designated partner continues their regular DIR-3 KYC obligations.
