Why your start-up should be an LLP.
An LLP is a separate legal entity with perpetual succession. Partners are generally not personally liable for LLP debts solely because they are partners, or for another partner's wrongful acts. They remain liable for their own wrongful acts, and partners who act with fraudulent intent can face unlimited liability.
Legal basis: Limited Liability Partnership Act, 2008, sections 3, 6, 7, 11, 12 and 27–30 (India Code).
An LLP is a body corporate and a legal entity separate from its partners, with perpetual succession. Every LLP must use the words “Limited Liability Partnership” or its acronym “LLP” as the last words of its name, and must have at least two designated partners who are individuals, with at least one resident in India.
Procedure of LLP registration
The procedure for forming an LLP is very similar to a Private Limited Company incorporation. A minimum of two partners and a registered office address within India are required to begin.

No. An LLP needs a minimum of two partners at all times. A single founder who wants limited liability should look at a One Person Company (OPC) instead; if an LLP drops to one partner, a replacement must be admitted within six months or the sole partner becomes personally liable.
