NOC Format for Registered Office
If the premises you are using as the registered office are not owned by the LLP — and for most new LLPs they are not — MCA expects a no objection certificate from the owner of the premises, attached as part of the proof of registered office address.
There is no prescribed MCA form for it. It is a plain letter from the owner. Here is the wording.
NOC format for registered office
On the owner's letterhead if they have one, otherwise on plain paper.
Date: [DD/MM/YYYY]
TO WHOMSOEVER IT MAY CONCERN
I, [Owner's full name], son/daughter of [Father's name], residing at [Owner's full address], am the owner of the premises situated at [full address of the premises, including floor, building, street, city, state and PIN].
I hereby grant my no objection to [Name of the LLP] LLP using the said premises as its registered office, and to the said address being used for all correspondence and statutory purposes.
I further confirm that I have no objection to the said LLP being registered at this address with the Ministry of Corporate Affairs, and that I have not received any consideration from the LLP for granting this permission other than rent payable under the agreement between us, if any.
This no objection certificate is issued at the request of the said LLP.
Yours faithfully,
[Signature]
[Owner's full name]
Owner of the premises

What to attach along with it
The NOC on its own is not the proof — it sits alongside the document that shows the address. MCA's attachment list for Form FiLLiP asks for proof of office address along with the NOC where applicable, and the proof is a conveyance deed, a lease deed, or a rent agreement together with the rent receipts.
| Situation | What to attach |
|---|---|
| Premises owned by a partner | Ownership document (conveyance deed or index copy) plus this NOC from that partner |
| Rented premises | Rent agreement with rent receipts, plus this NOC from the landlord |
| Shared or co-working space | Agreement with the space provider, plus an NOC from the provider or main tenant |
A detail most templates get wrong
You will see "not older than two months" quoted all over the internet as if it applied to the ownership or lease document. It does not — MCA's attachment list attaches that limit to the utility bill. Keep the bill recent regardless, because a stale one is a common reason for resubmission, but do not panic that your lease deed is two years old. A lease deed is supposed to be.
Where the NOC is used
- At incorporation — attached with Form FiLLiP, as part of the registered office proof.
- When you change the registered office — attached again with the notice of change of place of registered office, with a fresh NOC for the new premises.
Attachments are uploaded as PDF or JPG. Scan the signed copy rather than sending a photo taken at an angle — a page that is hard to read is a page that gets queried.
Mistakes that cause a resubmission
- The address does not match exactly. The address on the NOC, on the lease or ownership document, on the utility bill and in the form must read the same — same floor, same building name, same PIN. A difference in spelling is enough to get it sent back.
- The NOC is unsigned or undated. Both are required.
- The wrong person signs. It must be the owner of the premises. If the property is jointly owned, have all the owners sign.
- The LLP name is wrong. Use the exact proposed name, including the "LLP" suffix.

This format suits an ordinary LLP or company registration. If the premises are jointly owned, held through a trust or company, or occupied under an arrangement that is not a plain lease, get the wording checked rather than adapting this one.
